Direct deals, with a record the family can keep.

A family office that buys a company directly answers to principals who will own it for a long time. Acquiror AI gives a small team an evidenced Quality of Earnings (QoE), a price protected after close, and a file that still explains the decision years from now.

A lighter structure, the same questions

A fund has an investment committee, a deal team and a calendar. A family office may have a small team, the principals, and a phone call. The structure is lighter; the questions are not. When a principal asks whether the earnings are real, what stops the price moving after you sign, and who has seen the family's data, the answer has to be on paper.

The holding period raises the stakes. A fund plans its exit from the day it buys, and the next owner inherits the diligence problem. A family may hold the business for a generation, and whoever reviews the investment later will want to know why it was bought and what was known at the time.

A family may own the business for a generation. The file that says why it bought should last as long.

"Are the earnings real?"

The QoE workbench answers it with evidence, not with a summary.

  • Every adjustment is documented. One signed amount per adjustment, with a category, a recurrence of one-time, ongoing or run-rate, a confidence level, and evidence: notes, general-ledger references and the documents behind it.
  • Every period is reviewed. A period moves from Draft to In Review, where its reported figures freeze while the adjustments are worked. A reviewer locks it or rejects it with a comment. Locked means nobody edits it until someone unlocks it.
  • The statements follow the same pattern. The normalized income statement and balance sheet carry adjustments and evidence line by line, with the same Draft, In Review, Locked and Rejected lifecycle.
  • The memo shows its working. The investment memo lists adjustments as approved, run-rate or excluded, and an evidence appendix numbers the source documents and GL references behind each approved one.

If an accounting firm has already done the QoE, enter its periods and adjustments, attach its workpapers as evidence, and lock. You get the same bridge in the memo and the same figure in every module.

The deal's headline EBITDA does not drift away from the review either. It carries a provenance chip that says whether it is a sourcing-grade default or verified by QoE. If a locked period is later unlocked or rejected, the figure taken from it stays on screen marked "QoE review withdrawn", so nobody reads it as signed off.

"Will the price hold after close?"

Two things move value after signing: working capital that arrives short of the peg, and revenue that leaves with the previous owner. Both can be examined before you sign.

What moves value after closeWhat surfaces itWhere it lands
Working capital short of the pegDays sales outstanding, days inventory, days payables and the cash conversion cycle by period; an imported AR aging; inventory with a reserve overridePeg scenarios, one selected for the purchase agreement, and a closing-adjustment simulation
A peg set on the seller's best monthPegs modelled as a 12-month or 3-month average, selected periods, a seasonal match to the closing month, or a manual figure with its reason recordedThe memo's working capital section
A customer who is a large share of revenueConcentration tiers from Low to Critical, revenue share and renewal risk per customerThe durability score and the memo's revenue durability section
Contracts that end soon after closeContract terms and the count expiring within twelve months; backlog, contracted against at riskThe Revenue Durability scorecard
Retention that only looks goodGross and net retention with a basis note naming the period ends and the share of revenue coveredThe memo's revenue durability section

The durability score reads Strong, Moderate, Weak or At Risk, with a written assessment and an analyst override.

The record the principals keep

  • Decisions. Go, No-Go, Conditional Go or Parked, with the stage, a confidence level, the author, a timestamp and the rationale. The log is append-only.
  • The deal's history. Every stage change is kept on the Summary tab with who made it and when.
  • Valuation. Market comparables, a discounted cash flow and adjusted net assets, triangulated with weights. Results, overrides and recalculations are kept in an audit log, and an override needs a stated reason. DCF and asset assumptions are versioned rather than overwritten, with the before and after kept.
  • The memo. Up to 13 sections, three drafted by AI from approved figures, exported to PDF with your logo and a confidentiality notice, and prepared for the reader you name.
  • The archive. The Decision Export takes a deal's decision chain out as PDF, Excel or JSON. An admin can export the whole workspace as a ZIP of every record and the original documents, and each export is logged.

"Who has seen our data?"

  • Isolation. Each organization's data is isolated at the data-access layer, and documents, search and exports are scoped to it.
  • Location. Deal data is stored in Canada, with no choice of region today. Platform AI processing runs in the United States today, on a deployment type under which an individual request may be processed in another region where the model is available, under terms that prohibit training on your prompts and outputs.
  • Your own model, if you prefer. Run every AI feature on your own OpenAI or Anthropic key, under your own agreement with that provider.
  • Sign-in. Through Microsoft Entra. Acquiror AI never stores a password.
  • Access. Members hold Editor, Read Only, QoE Reviewer or Auditor, and the permission applies across the whole workspace. There are no per-deal permissions, so a co-investor with a seat sees every deal you hold.
  • What is published. The data processing addendum, the subprocessor list and the retention schedule. Self-service export ends when access ends, so export before the period closes. For 60 days after that, an export of your data is available on request, and deletion follows within 90 days after that window.

Objections, answered

"We are not a fund. We do not need institutional process."

You need the record, not the ceremony. Nobody has to hold a committee meeting for the decision log to show who decided what, when and why.

"We want a co-investor to see this deal and nothing else."

Share the deal as the investment memo PDF or the Decision Export; a co-investor reads either without a seat. Permissions apply across the workspace, so a seat would show every deal you hold.

"Our accountants do the QoE."

Good. Enter their periods and adjustments, attach their workpapers, and lock. The memo, the valuation and the financing then read the figure they signed off.

"Our data must stay in the United States."

Deal data is stored in Canada for every organization, with no choice of region today. Read Security before you upload anything.

FAQ

Is the valuation a certified valuation?

No. It is a calculation by three methods, with every override logged. If the purchase agreement or a lender requires a certified valuation, you still need one.

Can an outside advisor review the deal without changing it?

Yes. Give them the Auditor permission: they can view and export, and cannot change any deal content. They see every deal in the workspace.

Is the QoE a CPA-signed report?

No. It is your analysis, documented and locked. If your accountants have signed one, enter it and attach their workpapers as evidence.
