Kill deals fast. Keep the reasons.

A funded search is mostly a long run of No-Gos and one Go. Your investors back your judgment on all of them. Acquiror AI keeps the pipeline honest, puts a reason on every kill, and builds the diligence record for the one deal you take to LOI.

The search is a stream of decisions

Your investors funded a search, not a company. Until you find the business, the only thing you produce is decisions: this one is too small, that one has a customer who is half the revenue, this owner will not leave. Most of them are No.

Each No is easy to make and hard to remember. Six months later an investor asks why you passed on the HVAC business in March, and the answer is somewhere between an email thread, a screening spreadsheet and your notebook. The deal you do pursue gets the same treatment, only bigger: the CIM in one folder, the financials retyped into a model, the investor update written from memory.

Your investors fund your judgment. The decision log is where it is written down.

Screening, the way it runs in Acquiror AI

Every deal moves through nine stages, from Sourced to Closed Won or Closed Lost. Each card shows how many days the deal has sat in its stage, its last activity, and a stalled badge when it has sat too long, so a deal you meant to kill cannot quietly hang around.

When a deal earns a closer look, the screen is the same every time:

  1. Create the deal. Name, industry (one of sixty segments), asking price and currency. The broker goes on as a contact.
  2. Upload the CIM or the statements. The document type is detected, and you confirm it.
  3. Read the extraction. Revenue and EBITDA by year, margins, growth and risk flags, each figure with a confidence score and checked against the source table.
  4. Read Vera's estimate. Once Vera has produced one, the Summary tab shows her valuation: a base value, a low to high range and a confidence label, beside the deal's estimated value and its price-to-EBITDA multiple.
  5. Ask the questions you ask of every CIM. Load your industry playbook into Q&A and the answers come back with numbered citations to the passage, or cite nothing when the documents do not say.
  6. Record the decision. Go, No-Go, Conditional Go or Parked, with a confidence level and your reasons. The log is append-only: nothing is edited after the fact.

A teaser rarely has enough in it to extract. Create the deal anyway and record why you passed; the reason is the part worth keeping.

A busy pipeline needs a few more things to stay straight:

  • Win probability by stage. It follows a default for each stage unless you set it by hand, and every card shows the deal's weighted value.
  • Priority Deals and tags. Mark the handful you are actively chasing, tag the rest by thesis or source, and filter the list by stage, industry, risk or tag.
  • Nudges. A deal past its expected close date offers to be marked closed, and Ctrl+K (Cmd+K on a Mac) jumps to any deal by name.

What your investors see

A search fund update answers three questions: what you looked at, why you passed, and what you are chasing now.

  • The funnel. Pipeline Analytics shows active deals, total estimated value and EBITDA under evaluation, with the funnel by stage, filtered by industry, stage or risk.
  • The reasons. Each deal's decision history lists every decision with its author, timestamp, confidence and rationale. The Decision Export takes the chain out as PDF, Excel or JSON.
  • The deal you are pursuing. At LOI, the investment memo reports the Quality of Earnings (QoE), the selected valuation and the selected financing scenario in up to 13 sections, three drafted by AI, exported to PDF.
  • A seat, if they want one. An investor can join with the Read Only permission, or as an Auditor who can also export. Permissions apply across the whole workspace, so an investor with a seat sees every deal you hold, not just one.

The exports are the update, with no investor portal to maintain.

From screen to LOI to diligence

The modules you need change with the stage. Nothing has to be rebuilt when a deal moves; it only gets deeper.

StageWhat you do in Acquiror AI
Initial ScreenExtraction, Vera's estimate, a first decision with reasons
CIM ReceivedIndustry playbook in Q&A, document requests as tasks, normalized income statement and balance sheet
Deep Due DiligenceQoE periods with evidence and a reviewer lock; working capital and the peg; revenue durability; valuation by three methods
Letter of IntentAn advisory lists what is still missing; generate an LOI draft for counsel; Financing and the Debt Service Coverage Ratio (DSCR)
Purchase AgreementSelect the peg you will negotiate on; export the credit memo for the lender and the investment memo for your investors

Financing, Valuation and the investment memo wait for a locked QoE period, so the package your investors and your lender read is built on reviewed earnings, never on the broker's add-back list. On an SBA 7(a) acquisition at a Business Purchase Price of $3 million or more, excluding owner-occupied real estate, the lender orders its own Quality of Earnings and underwrites on its earnings, so the locked period is also how you know what that report will find before it is written (SBA 7(a) after 1 October 2026).

The deal's headline figures say how far they have come. Asking Price, Estimated Value, Confirmed EBITDA and Win Probability each carry a provenance chip, so anyone reading the Summary tab can tell a sourcing-grade default from a figure a module has verified. When the locked QoE or the selected valuation moves, the deal-maturity panel marks the drift, and one click adopts the new figure.

Sizing the plan to a kill-fast pipeline

A plan's deal limit counts the deals you hold, not the deals you have looked at. It never resets monthly.

  • Closed and lost deals count until they are deleted.
  • Deleting a deal frees its slot. Only an admin can delete one, and deleting removes its documents too.
  • Keep the record before you delete. Run the Decision Export first, and the reasons for the kill stay with you as a PDF, a workbook or JSON.

So size the plan to the deals you want to keep on screen at once: the live ones, plus the recent kills you still talk about.

The Record Decision form with No-Go selected, a confidence level and a written rationale, above the deal's decision history.

Objections, answered

"I already screen in a spreadsheet, and it is fast."

Keep it for the teaser pile. Acquiror AI starts to pay when the CIM arrives: the figures are extracted with confidence scores, the estimate is on the Summary tab, and the decision is recorded with its reasons where an investor can read it. The two side by side: Acquiror AI vs. spreadsheets.

"My investors want a letter, not a login."

Then send the letter, and attach the Decision Export and, at LOI, the investment memo PDF. Nobody needs a seat to read either.

"We are two co-searchers."

Solo has one seat. Professional has five, so both of you, an analyst and an investor who wants to look, can work the same record.

"AI will misread the CIM."

When it does, the product shows you where. Every extracted figure carries its confidence score, a history that disagrees with the source table is held back rather than shown, and every Q&A answer cites its passage or cites nothing.

FAQ

Is the valuation a certified valuation?

No. Vera's estimate and the three-method valuation are calculations. If the lender or the purchase agreement requires a certified valuation, you still need one.

Can I use playbooks on Solo?

No. Playbooks, tasks, Financing and the investment memo start at Professional.

Who is the trial for?

First-time subscribers. It runs 14 days, a card is required, and nothing is charged until day 15.
