Package the deal before the capital walks.

You raise equity deal by deal. Your lender lives on DSCR, your investors live on the EBITDA bridge, and your exclusivity window is counting down. Acquiror AI produces the lender package and the investor memo from one record.

The Financing underwriting summary for a demonstration deal, with cash available for debt service, the DSCR and its band against the firm's thresholds.
A demonstration deal. Figures as the product shows them.
  1. Coverage is computed on cash available for debt service
  2. The EBITDA comes from the locked QoE period
  3. The ratio is read against your firm's thresholds

The sponsor's problem

You do not have a fund. Every deal raises its own capital, so it has to sell itself twice: to a lender and to equity. Both read the same business and ask different questions of it.

  • The lender asks: can the cash flow carry the debt, and what happens to coverage when things go wrong?
  • Equity asks: are the earnings real, what is the business worth, and why should we believe your number?

Meanwhile the exclusivity clock is running. The work ends up in four files: a valuation spreadsheet, a debt model, a QoE workpaper built from the broker's add-back list, and a draft memo. One investor question changes one figure, and you re-tie the other three by hand.

The lender package and the investor package should be two views of one record, not two files that happen to agree.

What you hand the lender

  • DSCR on cash, not on EBITDA. The Debt Service Coverage Ratio (DSCR) is computed on Cash Available for Debt Service (CADS): adjusted EBITDA less maintenance capex, cash taxes, working capital and other outflows, divided by annual debt service.
  • A real capital structure. Senior term loan, mezzanine, seller note and earnout, each marked in or out of DSCR, with SBA 7(a) (USD deals) and CSBFP (CAD deals) templates.
  • Health bands your organization sets. Four DSCR bands with defaults of 1.50×, 1.25× and 1.10×, and anything lower reads "Below minimum".
  • Stress tests. Standard downside shocks to earnings, capex, taxes, working capital and rate, plus a combined case. A shock never improves the result, and a shock that does not apply to the structure is reported as not applied rather than counted as a pass.
  • Debt capacity. Solve for the debt the business carries at a target DSCR.
  • The credit memo. A PDF for the scenario that lists each instrument's terms and whether it counts toward DSCR.

What you hand equity

  • Quality of Earnings (QoE) with evidence. Periods, categorized adjustments, evidence links and GL references, support status, and a reviewer lock.
  • The EBITDA bridge. Reported to adjusted EBITDA, and the memo lists each adjustment as approved, run-rate or excluded.
  • A valuation by three methods. Market comparables on Revenue, EBITDA, EBIT, Gross Profit or SDE; a discounted cash flow; and adjusted net assets. Triangulated with weights and sensitivity bands, with every override and recalculation in an audit log.
  • The investment memo. Up to 13 sections, three of them drafted by AI and the rest built from the modules' own figures, exported to PDF with an optional evidence appendix. The narrative uses approved add-back amounts only.

One locked record

One record, from first upload to final memo.
  1. Financing, Valuation and the Investment Memo stay locked until a QoE period is locked.
  2. A financing scenario linked to QoE starts its CADS from the most recent locked QoE period's EBITDA.
  3. Valuation's linked earnings come from locked QoE periods only. A draft never feeds a scenario.
  4. The investment memo reports the deal's selected financing scenario and selected valuation scenario. The credit memo is exported from a financing scenario.

One deal, from CIM to committee

  1. Create the deal and upload the CIM. The document type is detected on upload.
  2. Extract the financials. Every extracted figure carries a confidence score, the same on every screen, and is checked against the source table. A history that disagrees with the document is held back.
  3. Build the QoE. Enter the adjustments, attach the evidence, and a reviewer locks the period.
  4. Value it. Run the three methods, set the weights, and read the triangulated value.
  5. Structure the debt. Link a financing scenario to QoE, add the instruments, run the stress tests, and solve for debt capacity.
  6. Answer the diligence questions. Q&A answers from the deal's own documents, with numbered citations that open the passage. An unsupported answer cites nothing.
  7. Package it. Export the credit memo for the lender and generate the investment memo for equity.
  8. Record the decision. Go, No-Go, Conditional Go or Parked, with a confidence and the reasons. The decision log is append-only, and the Decision Export goes out as PDF, Excel or JSON.

When a number moves late

Financing linked to QoE follows the newest locked period. Everywhere else the product shows you which numbers moved, and you decide when to adopt them.

  • A locked QoE period is unlocked or rejected. Figures taken from it stay on screen, with a "QoE review withdrawn" chip so nobody reads them as signed off.
  • A revised period is locked. A financing scenario linked to QoE reads the newest locked period.
  • Valuation was generated on the old figure. Its earnings badge reads "No longer current", and you regenerate to use the new figure.
  • The deal's headline figures. The Summary tab's deal-maturity panel marks drift, and an Update button adopts the new value.
  • The memo. It marks a period that is not locked as not locked, and marks a valuation scenario that is not final as not finalized.

Objections, answered

"I have a model my lender already likes."

Keep it. The credit memo lists every instrument and whether it counts toward DSCR, so the two models reconcile line by line. The Decision Export's Excel workbook and the admin data export take the figures back out whenever you want them.

"AI makes numbers up."

Every extracted figure shows its confidence score. Every Q&A answer cites its passage or cites nothing. The memo narrative uses approved add-backs only, and an AI refusal is shown, not hidden.

"The CIM is confidential."

Each organization's data is isolated at the data-access layer, and documents, search and exports are scoped to it. Deal data is stored in Canada. Acquiror AI does not train models on your data. You can also run every AI feature on your own OpenAI or Anthropic key. Platform AI runs in the United States today under terms that prohibit training on your prompts and outputs; where an individual request may be processed is set out on /security.

"It costs more than I want to spend on one deal."

A full year of any plan costs less than one mid-range Quality of Earnings engagement. The annual option is a 12-month commitment billed monthly, not up front. If your lender requires a CPA-signed QoE, buy it; yours tells you what to expect from theirs. On an SBA 7(a) acquisition at a Business Purchase Price of $3 million or more, excluding owner-occupied real estate, the lender orders its own and underwrites on its earnings; SBA 7(a) after 1 October 2026 sets out the rule.

"What if the deal dies?"

Record the No-Go with its reasons; it stays in the decision log. On a trial, cancel in one click and pay nothing. Deals count toward your plan's limit until you delete them, closed or lost ones included, and deleting a deal frees its slot. The admin data export gives you your records and original documents as a ZIP.

FAQ

Is the valuation a certified valuation?

No. It is a calculation, triangulated across three methods, with every override logged. If a lender or the purchase agreement requires a certified valuation, you still need one.

Who can see what?

An admin invites members by email and gives each one a permission: Editor, Read Only, QoE Reviewer or Auditor. An Auditor can view and export but cannot edit.

Who is the trial for?

First-time subscribers. It runs 14 days, a card is required, and nothing is charged until day 15.
